1. Acceptance of these Terms

These Terms & Conditions ("Terms") govern your access to and use of the Sponbar website, applications and services (collectively, the "Services"). By creating an account or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Cookies Policy. If you do not agree with these Terms, you must not use the Services.

If you use the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. What Sponbar does

Sponbar is a marketplace that connects advertisers with YouTube creators for sponsored Shorts. We provide tools to discover channels, launch campaigns, upload and approve ads, publish sponsored content and track performance.

Sponbar is not a party to any sponsorship agreement between an advertiser and a creator. Any deliverable, price or timeline agreed between them is solely between those parties. We do not guarantee any specific results, views, engagement or conversions.

3. Eligibility and accounts

  • You must be at least 18 years old and able to enter into binding contracts.
  • You must provide accurate and complete information and keep it up to date.
  • You are responsible for keeping your credentials confidential and for all activity under your account.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

4. Creator terms

  • To offer sponsorships, you must connect a YouTube channel that you own or are authorized to manage. By connecting a channel, you authorize Sponbar to access channel and video data through the YouTube API Services, as described in our Privacy Policy.
  • You are responsible for the content you publish, including compliance with YouTube's policies (including paid promotion disclosure) and applicable advertising and consumer protection laws.
  • Sponsored content must be published as agreed with the advertiser and may not be deleted or made private before the agreed period ends.
  • Payments are processed through our payment provider. You are responsible for providing accurate payout details and for any taxes arising from your earnings.

5. Advertiser terms

  • You are responsible for the ad creatives you upload and for the products or services you promote. Ads must be accurate and must not be misleading.
  • Campaign budgets, prices and delivery estimates are shown in the platform. Actual performance may vary.
  • You must not use the Services to promote prohibited content (see Section 7).
  • You are responsible for ensuring that your ads comply with YouTube's advertising policies and applicable law.

6. Payments and fees

  • Payments are processed by third-party payment providers, including Stripe. By using the payment features, you also agree to their terms.
  • Platform fees and payment processing fees are shown before you confirm a transaction.
  • Advertiser payments fund campaign budgets. Creator earnings become available for withdrawal after the applicable clearing period.
  • We may correct, withhold or reverse amounts in case of errors, chargebacks, fraud or violations of these Terms.

7. Prohibited content and conduct

You may not use the Services to promote or publish content that is illegal, fraudulent, misleading, hateful, harassing, sexually explicit, violent, related to gambling or regulated substances where prohibited, or that infringes third-party rights. We may remove content, pause campaigns or suspend accounts at our discretion.

8. Intellectual property

  • The Services, including software, design, logos and trademarks, are owned by Sponbar or its licensors. You may not copy, modify or distribute them without permission.
  • You retain ownership of your channel, your videos and your ad creatives. You grant Sponbar a worldwide, non-exclusive, royalty-free license to host, reproduce and display the content you upload solely to operate and promote the Services.
  • Creators grant advertisers the rights agreed for each sponsorship. Sponbar is not responsible for enforcing those rights.

9. Third-party services

The Services rely on third parties, including YouTube API Services and payment providers. Your use of those integrations is also governed by their terms, including the YouTube Terms of Service and the Google Privacy Policy. We are not responsible for third-party services.

10. Suspension and termination

We may suspend or terminate your access at any time if you breach these Terms, if required by law, or to protect the Services or other users. You may close your account at any time. Sections that by their nature should survive termination (including payments, intellectual property, disclaimers, liability and governing law) will survive.

11. Disclaimers

The Services are provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that data provided through integrations will be accurate or complete.

12. Limitation of liability

To the maximum extent permitted by law, Sponbar will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim arising out of the Services will not exceed the greater of (a) the fees you paid to Sponbar in the twelve months before the claim or (b) USD 100.

13. Indemnification

You agree to indemnify and hold harmless Sponbar and its officers, employees and agents from claims, damages and expenses (including reasonable legal fees) arising from your content, your use of the Services or your breach of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide notice through the Services or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Sponbar is established, without regard to conflict-of-law rules. Disputes will be resolved by the courts of competent jurisdiction at Sponbar's registered seat, unless mandatory consumer protection rules provide otherwise.
